Financial and Tax Reporting
Tax and Financial Reporting Requirements often require an independent valuation opinion. Simon Financial has extensive experience valuing publicly traded and privately-held companies, divisions, subsidiaries and newly formed spin-offs, as well as a variety of intangible assets. Situations requiring independent valuation services include (i) the testing for goodwill impairment as proscribed under ASC 350 and long-lived assets under ASC 360; (ii) the allocation of purchase price in an acquisition, as proscribed under ASC 805; (iii) establishing and maintaining stock and option compensation plans in compliance with IRC Section 409A; and (iv) establishing a tax basis upon the transfer of assets between entities.

Mergers and Acquisitions
Many owners of privately held companies reach a point when it is essential to analyze their strategic alternatives. One alternative is the sale of the company. Fairness Opinions
Increased regulatory scrutiny and the threat of litigation are unavoidable components of the current financial environment. As a result, companies and their Boards of directors are increasingly turning to independent financial advisors to provide a fairness opinion in conjunction with a transaction. A Fairness Opinion is a statement from an independent, qualified financial advisor that the consideration being received by a company and its shareholders is fair from a financial point of view. Valuation of Intellectual Property
An independent valuation of intangible assets is often required for (i) tax reporting purposes in connection with the transfer of intellectual property between entities; (ii) financial reporting purposes in connection with the allocation of purchase price in an acquisition; or (iii) assisting lenders by providing an independent valuation of potential collateral. Valuations of intellectual property for purposes of assisting lenders are typically performed on a net orderly liquidation basis.
